METLIFE COMPLETES DEBT-FOR-EQUITY EXCHANGE FOR ITS RETAINED BRIGHTHOUSE FINANCIAL, INC. COMMON STOCK

MetLife, Inc. (NYSE: MET) today announced it has completed a debt-for-equity exchange with Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC under which it has received $943,638,000 aggregate principal amount of MetLife, Inc. debt held by those firms in exchange for its remaining 23,155,117 shares of common stock of Brighthouse Financial, Inc. ("Brighthouse").
MetLife will use the financial capacity created by extinguishing this debt to contribute toward its 2018 capital management plan, which calls for returning close to $5 billion to shareholders.

MetLife received and cancelled the following debt: $342,503,000 in aggregate principal amount of MetLife’s 6.817% Senior Notes due 2018, $468,963,000 in aggregate principal amount of its 7.717% Senior Notes due 2019 and $132,172,000 in aggregate principal amount of its 4.75% Senior Notes due 2021.
The debt-for-equity exchange is structured to be tax-free for MetLife's retained 19.2% interest in BHF for U.S. federal income tax purposes.
The transaction marks MetLife’s full exit of its ownership stake in Brighthouse having distributed 80.8% upon separation in August 2017.
